1. Acceptance of Terms

Welcome to StatementPro.ai. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StatementPro.ai ("Company," "we," "us," or "our") governing your access to and use of the StatementPro.ai website, platform, application programming interfaces (APIs), and all related services (collectively, the "Service").

By accessing or using the Service, creating an account, or clicking "I Agree" or any similar button, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

StatementPro.ai provides an AI-powered document processing platform that converts PDF bank statements into structured data formats including CSV and Excel files. The Service includes:

• Document Conversion: AI-powered extraction and conversion of bank statement data from PDF, scanned image, and digital formats into CSV, Excel, and other structured formats.
• Batch Processing: The ability to upload and process multiple bank statements simultaneously.
• Data Export: Compatibility with QuickBooks, Xero, Excel, Google Sheets, and other accounting platforms.
• API Access: Programmatic access to conversion services (available on applicable plans).
• Account Dashboard: Tools to manage uploads, view conversion history, and configure settings.

The Service is provided as a Software-as-a-Service (SaaS) platform. We reserve the right to modify, update, or discontinue any feature or functionality of the Service at any time, with or without notice.

3. Account Terms

3.1 Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

3.2 Account Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction (whichever is greater) to create an account and use the Service. By creating an account, you represent and warrant that you meet this eligibility requirement.

3.3 Account Security

You are responsible for safeguarding the password and any other credentials used to access your account. We encourage the use of strong, unique passwords and multi-factor authentication where available. We will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload, process, or transmit any documents that you do not have the legal right to access or process.
• Use the Service to process documents containing information obtained through fraud, theft, or other illegal means.
• Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service.
• Use the Service to transmit viruses, malware, or other harmful code.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or its underlying algorithms.
• Use the Service to develop a competing product or service.
• Use automated means (bots, scrapers, crawlers) to access the Service except through our published APIs in accordance with applicable rate limits.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Violate any applicable local, state, national, or international law or regulation.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including without limitation, suspending or terminating the offender's account and reporting such activity to law enforcement authorities.

5. Payment Terms

5.1 Subscription Plans

The Service is offered through multiple subscription tiers:

• Free Tier: Limited conversion volume at no charge. Subject to usage limits as described on our Pricing page.
• Pro Tier: Enhanced conversion volume, priority processing, and additional features for a monthly or annual subscription fee.
• Business Tier: High-volume conversion, API access, team management, dedicated support, and premium features for a monthly or annual subscription fee.

Current pricing, features, and usage limits for each tier are detailed on our Pricing page. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

5.2 Billing and Payment

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. Payment is due at the time of subscription and at each renewal period. All fees are quoted and payable in U.S. dollars unless otherwise specified.

5.3 Payment Methods

We accept major credit cards, debit cards, and other payment methods as displayed at checkout. By providing a payment method, you represent and warrant that you are authorized to use it and authorize us to charge the applicable fees.

5.4 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that time.

5.5 Refunds

Fees are generally non-refundable except as required by applicable law. If you believe you are entitled to a refund, please contact us at support@statementpro.ai. We may, at our sole discretion, issue refunds or credits on a case-by-case basis.

5.6 Taxes

All fees are exclusive of taxes. You are responsible for any applicable taxes, levies, or duties imposed by taxing authorities. We will collect applicable sales tax where legally required.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, code, AI models, algorithms, documentation, trademarks, logos, and trade names, is and shall remain the exclusive property of StatementPro.ai and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it in accordance with these Terms.

6.2 Your Content

You retain all ownership rights in the documents and data you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, royalty-free license to process, store, and transmit Your Content solely as necessary to provide the Service to you. This license terminates when you delete Your Content or close your account, subject to our data retention policies described in our Privacy Policy.

6.3 Output Data

The converted data files generated by the Service from Your Content ("Output Data") belong to you. We claim no ownership rights over your Output Data.

6.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.

7. Data Processing

7.1 Data Handling

We understand that bank statements and financial documents contain highly sensitive information. We are committed to handling your data with the highest standards of security and confidentiality. Our data handling practices are described in detail in our Privacy Policy and on our Security page.

7.2 Data Processing Purpose

Your uploaded documents are processed solely for the purpose of providing the conversion service you have requested. We do not use your financial data for advertising, marketing profiling, or any purpose unrelated to delivering the Service.

7.3 Data Retention

Uploaded documents and converted output files are retained in accordance with our data retention policies. You may delete your uploaded documents and output files at any time through your account dashboard. Upon account termination, we will delete your data in accordance with our Privacy Policy.

7.4 Data Security

We employ bank-level encryption and industry-standard security measures to protect your data. For details on our security practices, please visit our Security page.

7.5 Data Processing Agreements

For Business tier subscribers who require a Data Processing Agreement (DPA) or Business Associate Agreement (BAA), please contact us at support@statementpro.ai.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8.2 Accuracy Disclaimer

While our AI-powered extraction technology is designed for high accuracy, we do not guarantee that converted data will be 100% accurate or error-free. You are responsible for reviewing and verifying all Output Data before relying on it for financial, accounting, tax, or other purposes. The Service is a tool to assist with data extraction and is not a substitute for professional accounting or financial advice.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STATEMENTPRO.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

1. YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE;
2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
3. ANY INACCURACIES, ERRORS, OR OMISSIONS IN THE CONVERTED DATA OR OUTPUT;
4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR DATA; OR
5. ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless StatementPro.ai, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Service;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• The content, accuracy, or legality of any documents you upload to the Service; or
• Any claim that your use of the Service caused damage to a third party.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at support@statementpro.ai or through your account dashboard. Upon termination, your right to use the Service will immediately cease.

10.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases where:

• You breach any provision of these Terms;
• You engage in fraudulent, abusive, or illegal activity;
• Your account has been inactive for an extended period;
• We are required to do so by law or legal process; or
• We discontinue the Service or any material part thereof.

10.3 Effect of Termination

Upon termination, your license to use the Service is revoked. We may delete your account data, uploaded documents, and Output Data in accordance with our Privacy Policy. We recommend exporting any data you wish to retain before terminating your account. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 8, 9, and 12.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page;
• Notify you via email or through a prominent notice on the Service at least 30 days before changes take effect; and
• Provide you with the opportunity to review the revised Terms before they become effective.

Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your account.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, and the language of the arbitration shall be English.

12.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND STATEMENTPRO.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.4 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

12.5 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and StatementPro.ai regarding the Service.
