Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and StatementPro.ai, operated by Mocsy Inc., 111 Peter Street, Suite 780, Toronto, Ontario M5V 2H1, Canada ("Company," "we," "us," or "our"), governing your access to and use of the StatementPro.ai website, platform, and related services (the "Service").

By checking the acceptance box presented at upload or sign-in, or by otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If you do not agree, you must not use the Service.

Where you use the Service for personal, family, or household purposes, you are a "Consumer User," and Section 8.4 applies to you.

2. Description of Service

StatementPro.ai is an AI-powered document-processing service that converts bank statements (PDF or image) into structured data (CSV). The Service includes a free tier and, where offered, paid credit packs and subscription plans, plus a logged-in dashboard to view your conversion history. Additional features and output formats may be offered on certain plans as they become available. The Service is provided on a Software-as-a-Service basis, and we may modify, update, or discontinue features at any time.

The Service is not offered to, or directed at, individuals or entities located in the European Economic Area, the United Kingdom, or Switzerland.

3. Account Terms

3.1 Account Registration

Some features require an account. We use passwordless authentication: you sign in with your email address and a one-time verification code we send you — there is no password to create or store. You agree to provide a valid email address, to keep access to that email account secure, and to accept responsibility for activity performed through your account. Notify us at hello@statementpro.ai of any unauthorized use.

3.2 Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using it, you represent that you meet this requirement.

3.3 Account Security

Because sign-in relies on your email, you are responsible for maintaining the security of your email account. Subject to Section 8.4, we are not liable for loss or damage arising from unauthorized access to your email account where that access is not attributable to our act or omission.

You agree to use the Service only for lawful purposes and not to:

We may investigate and take action, including suspending or terminating accounts, for violations of this section.

5. Plans, Credits, and Payment

5.1 Free Tier and Paid Options

The Service offers a free tier providing a limited, one-time grant of conversion credits. Free-tier credits do not renew or replenish. We also offer, or may offer, credit packs (one-time purchases of additional credits) and subscription plans. Current pricing, features, and limits are described on our Pricing page. We may modify pricing with 30 days' notice to active subscribers; a price change does not take effect for a subscription period already paid for.

5.2 Billing and Payment

Paid purchases are processed by our third-party payment processor. Credit packs are one-time purchases charged at the time of purchase. If and when we offer subscription plans, they will be billed in advance for the applicable period. By providing a payment method you represent that you are authorized to use it and authorize us (through our processor) to charge the applicable fees. We do not store full payment-card numbers.

5.3 Renewal and Cancellation

Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You may cancel at any time through your account or by contacting hello@statementpro.ai; cancellation takes effect at the end of the current period.

5.4 Refunds and Taxes

Fees are generally non-refundable except as required by law or as set out in these Terms; contact hello@statementpro.ai and we may issue credits or refunds at our discretion. Nothing in this section limits any statutory cancellation or refund right you may have as a Consumer User (see Section 8.4). Fees are exclusive of taxes, and you are responsible for applicable taxes, which we will collect where legally required.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its content, features, design, code, AI models, trademarks, and logos, is and remains the property of Mocsy Inc. and its licensors, protected by intellectual-property laws. Nothing in these Terms grants you rights in the Service beyond the limited license to use it under these Terms.

6.2 Your Content

You retain all ownership of the documents and data you upload ("Your Content"). By uploading, you grant us a limited, non-exclusive, royalty-free license to process, store, and transmit Your Content solely to provide the Service, including processing it through our extraction platform and the infrastructure and model-hosting providers described in our Privacy Policy. This license ends when Your Content is deleted, subject to our Privacy Policy.

6.3 Output Data

The converted files generated from Your Content ("Output Data") belong to you. We claim no ownership of your Output Data.

6.4 Feedback

If you give us feedback or suggestions, you grant us an irrevocable, royalty-free license to use and incorporate it into the Service without obligation to you. This does not grant us any right in Your Content or Output Data.

7. Data Processing

7.1 Data Handling

Bank statements contain highly sensitive information, and we are committed to handling your data securely and confidentially. Our practices are described in our Privacy Policy and on our Security page.

7.2 Purpose

Your uploaded documents are processed to deliver the conversion you requested. We do not use your financial data for advertising, marketing profiling, or to build general-purpose AI models, and we do not sell or share it. Where information derived from your corrections is used to improve the accuracy of our extraction system, it is de-identified first, as described in our Privacy Policy.

7.3 Processing and Retention

Conversion is performed on our own extraction platform, operated by Mocsy Inc. Extraction uses machine-learning models hosted for us by Amazon Web Services in its US East region, which means the content of your documents is transmitted to and processed on infrastructure located in the United States. The model-hosting provider does not use your documents to train its own models and does not retain them.

Our extraction system improves over time from corrections made by users of the Service. The information used for that purpose describes document structure — where fields sit and how they are labelled — and is de-identified before use; the contents of your documents are not retained or used for it. Section 3 of our Privacy Policy explains this.

Your converted results are delivered to you by email. Where we provide a download link, that link and the file it points to remain available for up to 30 days and are then deleted. We retain your uploaded files and the data extracted from them until you request deletion; you may request deletion at any time by emailing hello@statementpro.ai. Full details, including our infrastructure and service providers, are in our Privacy Policy.

7.4 Data Security

We encrypt data in transit and at rest and apply industry-standard security measures. See our Security page for details. Note that email delivery of your converted files depends in part on the security of your own email provider and the transport between our systems and it, which is outside our control.

7.5 Data Processing Agreement

Business customers who require a Data Processing Agreement (DPA) may review our DPA or request a signed copy at hello@statementpro.ai. The DPA applies only where we process personal data on a business customer's behalf; it does not apply to Consumer Users, for whom we act as the controller of their personal information as described in the Privacy Policy.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties

SUBJECT TO SECTION 8.4, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.2 Accuracy Disclaimer

While our AI extraction is designed for high accuracy, we do not guarantee converted data is 100% accurate. You are responsible for reviewing and verifying all Output Data before relying on it for financial, accounting, tax, or other purposes. The Service is a tool and is not a substitute for professional advice.

8.3 Limitation of Liability

SUBJECT TO SECTION 8.4, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER STATEMENTPRO.AI / MOCSY INC. NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE OR ANY INACCURACIES IN THE OUTPUT. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

THE LIMITATIONS IN THIS SECTION 8.3 DO NOT APPLY TO LIABILITY FOR (I) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, (II) FRAUD OR FRAUDULENT MISREPRESENTATION, OR (III) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

8.4 Consumer Rights — Savings Clause

Nothing in these Terms excludes, restricts, or modifies any right, guarantee, warranty, condition, or remedy that applicable consumer-protection legislation confers on you and that cannot lawfully be excluded, restricted, or modified. This includes, without limitation, rights under Ontario's Consumer Protection Act, 2002 and, where applicable, consumer legislation of your own jurisdiction of residence. If any disclaimer, limitation, or other provision of these Terms is held to be unenforceable against you as a consumer, that provision applies only to the extent permitted by law and the remainder of these Terms continues in effect.

9. Indemnification

You agree to indemnify and hold harmless Mocsy Inc., its affiliates, officers, employees, agents, and licensors from any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) to the extent arising out of: (a) your use of the Service in breach of these Terms; (b) your violation of applicable law; (c) your violation of third-party rights; or (d) the content or legality of documents you upload, including any lack of authority or lawful basis to upload them.

This indemnity does not apply to the extent a claim arises from our own breach of these Terms, our negligence, or our wilful misconduct. We will notify you promptly of any claim for which we seek indemnity, allow you to control the defence of that claim (provided any settlement that imposes non-monetary obligations on us requires our consent), and cooperate reasonably at your expense. Nothing in this section requires a Consumer User to indemnify us beyond what applicable consumer-protection law permits.

10. Termination

10.1 By You

You may terminate your account at any time by contacting hello@statementpro.ai. Upon termination your right to use the Service ceases.

10.2 By Us

We may suspend or terminate your access for breach of these Terms, fraudulent or illegal activity, legal requirement, or discontinuation of the Service. Except where we are legally prohibited from doing so or where immediate action is necessary to prevent harm, fraud, or unlawful activity, we will give you reasonable notice before terminating your account. We may also close accounts that have been inactive for an extended period. Closing an inactive account does not by itself delete the files and extracted data associated with it — that data is retained as described in Section 7.3 until deletion is requested.

10.3 Effect of Termination

Upon termination we will delete your data in accordance with our Privacy Policy and, where applicable, on your request under Section 7.3. Sections that by their nature should survive termination (including Sections 6, 8, 9, 12, 14, and 15) will survive.

11. Changes to Terms

We may modify these Terms. For material changes we will update the Effective Date above and provide notice through the Service or by email before they take effect. Your continued use after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service. We maintain a record of the version of these Terms you accepted.

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.

12.2 Dispute Resolution

The parties will first attempt to resolve any dispute through good-faith negotiation. Failing resolution, the dispute will be subject to the exclusive jurisdiction of the courts of the Province of Ontario, and you consent to that jurisdiction and venue.

12.3 Consumer Users Outside Ontario

If you are a Consumer User, Sections 12.1 and 12.2 do not deprive you of the protection of the mandatory consumer-protection laws of your country or province of habitual residence, or of any right you may have to bring proceedings in the courts of that jurisdiction where applicable law confers that right.

12.4 Severability and Entire Agreement

If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the remainder will stay in effect. These Terms, together with our Privacy Policy and (for business customers) our DPA, constitute the entire agreement between you and us regarding the Service.

13. Contact

14. Force Majeure

Neither party is liable for any delay or failure to perform (other than an obligation to pay money) caused by an event beyond its reasonable control, including acts of God, natural disaster, epidemic or pandemic, war, terrorism, civil unrest, labour dispute, government action, failure of the public internet or telecommunications networks, or failure or interruption of a third-party infrastructure or hosting provider. The affected party will use reasonable efforts to mitigate and resume performance. If such an event materially prevents us from providing the Service for more than thirty (30) consecutive days, either party may terminate the affected subscription, and we will refund any prepaid fees for the unused portion of the term.

15. Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, provided the assignee assumes our obligations under these Terms. Any purported assignment in breach of this section is void. These Terms bind and benefit the parties' permitted successors and assigns.

16. Notices

We may give notice by email to the address on your account or by posting in the Service. You may give notice to us at hello@statementpro.ai. Notice is deemed given on the day it is sent, or if sent outside business hours, on the next business day.
